Terms of Service

Welcome to TOCTalk! These Terms of Service ("Terms", "Agreement") govern your access to and use of TOCTalk's mobile application, website, and related services (collectively, the "Service", "Platform"). By creating an account, accessing, or using our Service, you agree to be bound by these Terms and all applicable laws and regulations.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affect your legal rights. Please read Section 20 carefully.

1. Acceptance of Terms

By creating an account or using TOCTalk, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and any additional terms that may apply to specific features or services. If you do not agree to these Terms, you may not access or use our Service.

We reserve the right to modify these Terms at any time. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Eligibility and Account Requirements

2.1 Age and Capacity

To use TOCTalk, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under applicable laws
  • Be an employee, contractor, or authorized member of a participating workplace or organization

2.2 Account Registration and Security

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use or security breach
  • Taking reasonable steps to prevent unauthorized access to your account

2.3 Workplace Verification

TOCTalk uses geofencing and other verification technologies to confirm your association with your workplace. By using the Service, you consent to location tracking and verification processes. Access to certain features may be restricted based on your physical location or workplace status.

3. License and Access

3.1 Limited License

Subject to your compliance with these Terms, TOCTalk grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use within your workplace community.

3.2 Restrictions

You may not:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Remove, obscure, or alter any legal notices displayed in connection with the Service
  • Use the Service for any commercial purpose without our express written consent
  • Use automated systems (bots, scrapers, crawlers) to access the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to any portion of the Service

4. User Content and Intellectual Property

4.1 Your Content

You retain ownership of any content you post, upload, or transmit through the Service ("User Content"), including but not limited to text, photos, videos, comments, messages, profile information, and other materials.

4.2 License Grant to TOCTalk

By posting User Content, you grant TOCTalk and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your User Content in any media formats and through any media channels now known or hereafter developed, including but not limited to:

  • Operating, providing, promoting, and improving the Service
  • Displaying your User Content to other users within your workplace community
  • Using your User Content in aggregated, de-identified form for analytics and research
  • Training and improving our algorithms, including AI and machine learning models
  • Promotional and marketing purposes (with appropriate privacy controls)

4.3 Content Standards and Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that you own or have all necessary rights, licenses, and permissions to grant the rights in Section 4.2, and that your User Content:

  • Does not violate any applicable laws, regulations, or third-party rights
  • Does not contain material that is defamatory, obscene, pornographic, threatening, or harassing
  • Does not violate intellectual property rights, including copyrights, trademarks, or patents
  • Does not contain viruses, malware, or other harmful code
  • Does not violate workplace policies or confidentiality obligations

4.4 Content Moderation

We reserve the right (but have no obligation) to:

  • Monitor, review, screen, and moderate User Content
  • Remove, modify, or refuse to post any User Content at our sole discretion
  • Suspend or terminate accounts that violate these Terms
  • Cooperate with law enforcement and disclose User Content as required by law

We are not responsible for any failure or delay in removing content. Our moderation does not constitute endorsement of any User Content.

4.5 TOCTalk's Intellectual Property

The Service, including its design, features, functionality, graphics, user interface, code, and all content provided by TOCTalk, is owned by TOCTalk and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5. Advertising and Promotions

5.1 Advertising on the Platform

TOCTalk is an advertising-supported platform. By using the Service, you agree that we may display advertisements and promotional content within the Service, including in your feed, stories, and other areas of the application.

5.2 Targeted Advertising

We may use information collected about you, including your profile information, usage data, device information, location data, and inferences derived from your activity, to serve personalized and targeted advertisements. This includes:

  • Analyzing your interests and preferences based on your interactions
  • Using demographic and workplace information for ad targeting
  • Tracking ad performance and effectiveness
  • Sharing aggregated and de-identified data with advertising partners
  • Allowing advertisers to target specific audience segments (without revealing your identity)

5.3 Ad Choices and Controls

While you cannot completely opt out of seeing advertisements (as ads support our free Service), you may have limited controls over personalized advertising through your account settings or device settings. However, you will still see ads; they may just be less relevant to you.

5.4 Third-Party Advertisers

Advertisements may be provided by third-party advertising networks and sponsors. These third parties may collect information about your use of the Service through cookies, web beacons, and similar technologies. Your interactions with advertisements are governed by the privacy policies of those third parties.

5.5 Sponsored Content

Some content in your feed may be sponsored or promoted by advertisers. We will clearly label such content as "Sponsored," "Promoted," or similar designations. You acknowledge that sponsored content is paid advertising and not necessarily endorsed by TOCTalk.

6. Data Collection and Usage

6.1 Data Collection

By using the Service, you acknowledge and agree that we collect, use, and share your information as described in our Privacy Policy, including but not limited to:

  • Account Information: Name, email, phone number, workplace affiliation, profile data
  • User Content: Posts, photos, videos, comments, messages, reactions
  • Usage Data: Features used, time spent, click patterns, search queries, interactions
  • Device Information: Device type, operating system, IP address, browser type, unique identifiers
  • Location Data: Precise and approximate location through GPS, WiFi, cellular data
  • Contact Information: Phone contacts (with permission) to help you find colleagues
  • Communication Data: Metadata about your communications through the Service
  • Behavioral Data: Patterns, preferences, and inferences derived from your activity
  • Third-Party Data: Information from business partners, advertisers, and data brokers

6.2 How We Use Your Data

We use collected data for multiple purposes, including:

  • Providing, maintaining, and improving the Service
  • Personalizing your experience and content feed
  • Serving targeted advertisements and measuring ad effectiveness
  • Developing new features and products
  • Conducting analytics, research, and data science activities
  • Training artificial intelligence and machine learning models
  • Detecting fraud, abuse, and security threats
  • Complying with legal obligations and enforcing our policies
  • Communicating with you about the Service
  • Sharing aggregated or de-identified data with third parties

6.3 Data Sharing

We may share your information with:

  • Other Users: Your profile and content within your workplace community
  • Workplace Administrators: Analytics and usage data (as permitted)
  • Service Providers: Cloud hosting, analytics, customer support, payment processing
  • Advertising Partners: For ad targeting, measurement, and attribution
  • Business Partners: In connection with joint offerings or integrations
  • Legal Authorities: When required by law or to protect our rights
  • Acquirers: In connection with a merger, acquisition, or sale of assets

6.4 Data Retention

We retain your data for as long as your account is active and for a reasonable period thereafter as necessary to provide services, comply with legal obligations, resolve disputes, and enforce agreements. Some data may be retained in aggregated or de-identified form indefinitely.

7. Acceptable Use Policy

7.1 Prohibited Conduct

You agree NOT to use the Service to:

  • Post illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory content
  • Engage in hate speech, bullying, harassment, or intimidation
  • Post sexually explicit, pornographic, or obscene content
  • Impersonate any person or entity or misrepresent your affiliation
  • Post spam, unsolicited messages, or engage in excessive promotional activity
  • Violate intellectual property rights of others
  • Share confidential, proprietary, or trade secret information
  • Violate workplace policies, employment agreements, or confidentiality obligations
  • Collect, harvest, or scrape user data or personal information
  • Attempt to gain unauthorized access to accounts, systems, or networks
  • Transmit viruses, malware, or malicious code
  • Interfere with or disrupt the Service or servers/networks
  • Circumvent security features or access controls
  • Use the Service for illegal activities or to facilitate violations of law
  • Engage in market manipulation or fraudulent marketplace transactions
  • Create fake accounts or use automated tools (bots)

7.2 Workplace Conduct

As a workplace-focused platform, you agree to maintain professional conduct. You must:

  • Comply with your employer's policies and code of conduct
  • Respect workplace hierarchies and professional boundaries
  • Avoid creating hostile work environment situations
  • Not use the platform for union-busting or labor law violations
  • Report violations of workplace policies or laws to appropriate authorities

8. Copyright and DMCA

8.1 Copyright Policy

We respect intellectual property rights. We respond to valid notices of copyright infringement and will terminate accounts of repeat infringers in accordance with the Digital Millennium Copyright Act (DMCA) and other applicable laws.

8.2 DMCA Notices

If you believe content on TOCTalk infringes your copyright, please send a DMCA notice to our designated agent at dmca@toctalk.app with:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location
  • Your contact information (address, phone, email)
  • A statement of good faith belief that use is not authorized
  • A statement under penalty of perjury that the information is accurate
  • Physical or electronic signature of the copyright owner or authorized agent

8.3 Counter-Notice

If your content was removed due to a DMCA notice and you believe it was removed in error, you may submit a counter-notice to the same address.

9. Workplace Marketplace

9.1 Marketplace Terms

The marketplace feature allows users to buy and sell items within their workplace community. TOCTalk is NOT a party to any transactions and acts solely as a platform.

9.2 User Responsibilities

Users engaging in marketplace transactions are responsible for:

  • Complying with all applicable laws regarding sales, taxes, and consumer protection
  • Accurately describing items and not posting misleading information
  • Not listing illegal, stolen, counterfeit, or dangerous items
  • Honoring commitments and completing transactions in good faith
  • Resolving disputes directly with other parties
  • Obtaining necessary permits or licenses for business activity

9.3 No Liability

TOCTalk is not responsible for:

  • The quality, safety, legality, or accuracy of marketplace listings
  • The ability or willingness of users to complete transactions
  • Disputes between buyers and sellers
  • Losses, damages, or injuries arising from marketplace transactions
  • Payment processing or delivery of items

10. Events and Activities

10.1 Event Creation and Participation

Users may create and participate in workplace events. Event organizers are solely responsible for their events, including planning, safety, and compliance with laws and workplace policies.

10.2 Assumption of Risk

Participation in events is at your own risk. TOCTalk is not responsible for:

  • The conduct or actions of event organizers or participants
  • Injuries, damages, or losses occurring at or related to events
  • Cancellations, changes, or misrepresentations about events
  • Compliance with laws, permits, or safety regulations

11. Third-Party Services and Links

The Service may contain links to third-party websites, services, or applications not controlled by TOCTalk. We are not responsible for the content, privacy practices, terms, or conduct of any third-party services. Your use of third-party services is at your own risk and subject to their terms and policies.

12. Privacy and Data Protection

Your privacy is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy, including:

  • Collection of personal and usage data
  • Use of data for advertising and analytics
  • Sharing data with third parties
  • Use of cookies and tracking technologies
  • International data transfers

13. Disclaimers and Limitations of Liability

13.1 "AS IS" and "AS AVAILABLE" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
  • AVAILABILITY, SECURITY, OR ERROR-FREE OPERATION

13.2 No Warranty

TOCTalk does not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results obtained from the Service will be accurate or reliable
  • User Content is accurate, appropriate, or lawful

13.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOCTALK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
  • DAMAGES RESULTING FROM USER CONTENT OR CONDUCT OF OTHER USERS
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA OR ACCOUNT
  • DAMAGES RESULTING FROM MARKETPLACE TRANSACTIONS OR EVENTS

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TOCTALK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.4 Limitation Amount

IN NO EVENT SHALL TOCTALK'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TOCTALK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100 USD).

13.5 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless TOCTalk, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from or relating to:

  • Your use or misuse of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law, regulation, or third-party rights
  • Your marketplace transactions or event participation
  • Your violation of workplace policies or confidentiality obligations
  • Any claim that your User Content caused damage to a third party

This indemnification obligation will survive termination of your account and these Terms.

15. Termination and Suspension

15.1 Termination by You

You may terminate your account at any time by contacting us at support@toctalk.app or using account deletion features in the app.

15.2 Termination by TOCTalk

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Termination of the Service or material modifications
  • Technical or security issues
  • At our sole discretion

15.3 Effect of Termination

Upon termination:

  • Your right to access and use the Service immediately ceases
  • We may delete your account, content, and data
  • We have no obligation to maintain or provide data after termination
  • Sections of these Terms that by their nature should survive will survive termination

15.4 No Liability

TOCTalk shall not be liable to you or any third party for any termination or suspension of your account or access to the Service.

16. Modifications to the Service

We reserve the right to:

  • Modify, suspend, or discontinue any aspect of the Service at any time
  • Impose limits on features or restrict access to parts of the Service
  • Change pricing or introduce fees for currently free features (with notice)

We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Changes to Terms

We may revise these Terms at any time. We will notify you of material changes by:

  • Posting the revised Terms with an updated "Last Updated" date
  • Sending notice through the Service or to your registered email
  • Requiring your acceptance before continued use (for material changes)

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service.

18. Governing Law and Jurisdiction

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], United States, without regard to its conflict of law provisions.

18.2 Jurisdiction

You agree to submit to the personal and exclusive jurisdiction of the courts located in [Your County], [Your State] for resolution of any disputes not subject to arbitration.

19. Export Compliance

The Service may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce. You represent that you are not:

  • Located in a country subject to U.S. embargo
  • Listed on any U.S. government list of prohibited or restricted parties
  • Subject to restrictions that would prevent use of the Service

20. Dispute Resolution and Arbitration

20.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@toctalk.app. We'll try to resolve the dispute informally by contacting you. If a dispute is not resolved within 60 days, you or TOCTalk may bring a formal proceeding.

20.2 Binding Arbitration

YOU AND TOCTALK AGREE THAT ANY DISPUTE WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION, EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT.

Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes.

The arbitration will be conducted in [Your City], [Your State], or remotely by telephone or videoconference. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

20.3 Class Action Waiver

YOU AND TOCTALK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and TOCTalk agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

20.4 Exceptions

Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service or intellectual property infringement without first engaging in arbitration or informal dispute resolution.

20.5 Opt-Out

You may opt out of the arbitration agreement by sending written notice to TOCTalk at legal@toctalk.app within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you want to opt out of the arbitration agreement.

21. General Provisions

21.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and TOCTalk regarding the Service and supersede all prior agreements and understandings.

21.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

21.3 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. Our failure to enforce any right or provision will not constitute a waiver of that right or provision.

21.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms and our rights without restriction, including to any affiliate or in connection with a merger, acquisition, reorganization, or sale of assets.

21.5 Force Majeure

TOCTalk shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

21.6 Notices

We may provide notices to you via email, regular mail, or postings on the Service. You consent to receive communications electronically, and agree that electronic communications satisfy any legal requirement that communications be in writing.

21.7 Relationship

These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and TOCTalk.

21.8 Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights.

21.9 Survival

The following sections shall survive termination of these Terms: Sections 4 (User Content), 6 (Data Collection), 13 (Disclaimers), 14 (Indemnification), 18 (Governing Law), 20 (Dispute Resolution), and 21 (General Provisions).

22. Government and Enterprise Use

If you are using the Service on behalf of a government entity or large enterprise, additional terms may apply. Please contact us at enterprise@toctalk.app for enterprise agreements.

23. California Privacy Rights

California residents have specific rights under the California Consumer Privacy Act (CCPA). Please see our Privacy Policy for information about your California privacy rights.
